CLIENT SERVICES AGREEMENT

THIS AGREEMENT

This Agreement is entered into on 05/22/2025 by and between Mark Pearson Coaching, Inc. dba Infinite Impact Coaching and You ("The Client") for the provision of done-with-you coaching and/or done-for-you tech services.

1. SERVICES PROVIDED

**Million-Dollar Systems Accelerator** (6-week done-with-you coaching program):

Weekly strategy sessions- Business Audit to begin optimization of your systems

A custom growth plan built for your business

Templates and tools you can plug in right away

CRM & technology training

2. COMPENSATION

Client may purchase either of the following services individually or together as a bundled offer. Client agrees to pay Company the corresponding fee for the selected service(s):

Million-Dollar Systems Accelerator: $5,000 (one-time)

Impact OS (GHL) Setup: $2,500 (one-time)

Bundled Rate for Both: $7,000 (one-time)

Impact OS (GHL) Monthly Maintenance & Optimization: $750/month

Either party may cancel Monthly Maintenance & Optimization services with 14 days’ written notice. No partial-month refunds will be issued.

Additional usage fees (text/email credits, software subscriptions, etc.) are not included and are the client’s responsibility.

Client authorizes the Company to charge the designated payment method for all fees and services outlined in this Agreement.

By enrolling in the Impact OS (GHL) Monthly Maintenance & Optimization Plan, the Client agrees to be billed automatically on a recurring monthly basis using the payment method provided during onboarding. The first payment will be processed upon completion of system delivery, and subsequent charges will occur every 30 days thereafter (or on the 1st of each month, if enrolled in calendar-based billing).

Client authorizes Company to securely store and charge the selected payment method for all monthly fees and any authorized add-ons. It is the Client’s responsibility to ensure that the payment method remains valid and up to date.

If a payment fails or is declined, services may be paused until the outstanding balance is resolved. Repeated payment failures may result in cancellation of the service agreement.

3. CLIENT RESPONSIBILITIES

CLIENT AGREES TO:

Attend onboarding meeting, attend scheduled calls, and complete assigned work

Provide necessary business assets (logos, offers, credentials) within 2 business days of onboarding.

Actively implement recommendations and strategies discussed during sessions

4. SERVICE GUARANTEE

UNIFIED CONDITIONAL GUARANTEE:

We (Company) guarantee the delivery of your fully built Impact OS (GHL) system within 3–5 business days, provided you (Client) complete onboarding and submit all required assets within 2 business days following our onboarding meeting. Should we fail to meet this deadline due to our delay, we will credit you $500—no questions asked.

NOTE ON PHONE & MESSAGING CAPABILITIES:

Your system encompasses features such as SMS, MMS (image/video messaging), voicemail drops, and call forwarding. Activation of these services requires your business to complete A2P 10DLC registration with our carrier partner. This process, which we will guide you through during onboarding, typically takes 3–5 business days upon submission of your business information. Until A2P registration is approved, functionalities like text messaging and certain phone-related features may be limited. We will complete and deliver your full system on time, with all messaging capabilities becoming operational once registration is finalized.

SCOPE OF SUPPORT:

Your system encompasses features such as SMS, MMS (image/video messaging), voicemail drops, and call forwarding. Activation of these services requires your business to complete A2P 10DLC registration with our carrier partner. This process, which we will guide you through during onboarding, typically takes 3–5 business days upon submission of your business information.Until A2P registration is approved, functionalities like text messaging and certain phone-related features may be limited. We will complete and deliver your full system on time, with all messaging capabilities becoming operational once registration is finalized.

Monthly Maintenance Clients: In addition to the initial setup, you will receive continuous support, performance monitoring, optimization, and the ability to scale your system as your business evolves.

5. TERMS & CONDITIONS

Force Majeure

Neither party shall be held liable for failure to perform due to causes beyond reasonable control, including but not limited to natural disasters, illness, or platform outages.

Testimonial and Marketing Release

Client grants permission for their success stories, testimonials, and anonymized results to be used in marketing materials unless expressly opted out in writing.

Limitation of Liability

Company’s total liability under this Agreement shall not exceed the total fees paid by Client.

Refunds & Payment Terms

All payments are final and non-refundable. Failure to pay any installment within 7 days of its due date may result in suspension of services and late fees of 1.5% per month.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during this engagement.

Intellectual Property

Templates, systems, and resources shared by Mark Pearson Coaching, Inc. dba Infinite Impact Coaching remain the intellectual property of the Company. Client receives a lifetime, non-transferable license to use these materials within their business.

Disclaimers

Results are not guaranteed. Client understands that success depends on their own implementation, effort, and external market factors.

Legal Venue

This Agreement shall be governed by the laws of the State of California. Any legal disputes shall be resolved in the appropriate courts of San Diego County, CA.
